1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the DairyKhata platform — including the website at dairykhata.in, mobile applications, APIs, and related services (collectively, the "Service") — provided by DairyKhata Technologies Private Limited ("Company", "we", "us").

By registering, accessing, or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and accept these Terms in full.

2. Our Services

DairyKhata provides a cloud-based dairy management platform that includes:

• Milk collection tracking and recording
• Farmer and customer account management
• Delivery route and partner management
• Cattle buying and selling marketplace
• Gaushala operations management
• Payment processing and financial reporting
• Analytics and business insights dashboards

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable prior notice.

3. Account Terms

• You must provide accurate and complete information when creating your account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• One account per business entity; creating multiple accounts to circumvent restrictions is prohibited
• Accounts registered on behalf of a business must be authorised by that business
• We reserve the right to suspend accounts found to be in violation of these Terms

4. Subscription & Payment

4.1 Plans and Pricing

DairyKhata offers a free tier and paid subscription plans. Plan details and pricing are available at dairykhata.in/pricing. Prices are in Indian Rupees (INR) inclusive of applicable GST.

4.2 Billing

• Subscriptions are billed monthly or annually in advance
• Payments are processed via Razorpay. By subscribing, you authorise us to charge your chosen payment method
• Failed payments will result in service suspension after a 7-day grace period

4.3 Upgrades and Downgrades

You may upgrade your plan at any time; the upgrade takes effect immediately and you will be charged a prorated amount. Downgrades take effect at the end of the current billing cycle.

4.4 Free Trial

New users may be offered a 14-day free trial. No credit card is required during the trial. At the end of the trial, you must subscribe or your account will be moved to the free tier.

5. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable Indian or international law or regulation
• Upload false, misleading, or fraudulent data
• Reverse engineer, decompile, or attempt to extract source code
• Resell, sublicense, or commercialise access to the Service without written permission
• Interfere with or disrupt the platform's infrastructure or other users' access
• Use automated tools (bots, scrapers) to access the Service without written consent
• Upload malicious code, viruses, or any harmful content

Violation of these rules may result in immediate account termination without refund.

6. Intellectual Property

All intellectual property in the DairyKhata platform — including software, design, trademarks, logos, content, and documentation — is owned by DairyKhata Technologies Private Limited and is protected under Indian and international IP laws.

We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes only. This licence does not include the right to copy, modify, or distribute any part of the platform.

Your Data: You retain full ownership of all data you enter into DairyKhata. By using the Service, you grant us a limited licence to process and store your data solely to provide the Service to you.

7. Your Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key commitments:

• We will not sell your data to third parties
• You can export your data at any time from account settings
• Upon account deletion, your data will be erased within 30 days (except where legally required to retain)
• We maintain industry-standard security measures to protect your data

8. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We do not guarantee uninterrupted or error-free service (target uptime: 99.5%)
• Our total liability for any claim arising from use of the Service is limited to the amount you paid us in the preceding 3 months
• We are not liable for indirect, incidental, or consequential damages (including loss of business, profits, or data)

Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct.

9. Termination

By You: You may cancel your subscription at any time from account settings. Cancellation takes effect at the end of the current billing period. Refer to our Refund Policy for applicable refunds.

By Us: We may suspend or terminate your account with 7 days' notice for violation of these Terms, or immediately for serious violations (fraud, illegal activity). We may also terminate accounts for non-payment after the grace period.

Upon termination, your access to the Service ceases. You may export your data within 30 days of termination. After that, data may be permanently deleted.

10. Governing Law & Disputes

These Terms are governed by the laws of India. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Noida, Uttar Pradesh.

For consumer disputes, you may also approach the appropriate Consumer Forum under the Consumer Protection Act, 2019.
